Welcome to EchoTrade, the heartbeat of every game. These Terms and Conditions (“Terms”) govern your use of our AI-powered sports previews service, delivered through our API and powered by Smallest.ai’s lightning-fast voices. By accessing or using EchoTrade, you agree to be bound by these Terms. If you do not agree, please do not use our service.

1. Definitions

• “EchoTrade”: Barlek Investments PTY Ltd t/a EchoTrade, the provider of the AI-powered sports previews service.
• “Service”: The EchoTrade platform, including API access, audio previews, analytics, storage, and integrations, as offered under Starter, Pro, or Enterprise plans.
• “User”: Any individual or entity subscribing to or accessing the Service.
• “Plan”: The subscription tier (Starter, Pro, or Enterprise) selected by the User, as detailed at EchoTrade.bet/pricing.

2. Service Description

EchoTrade provides real-time, AI-generated audio previews for sports events, accessible via API, with features including:

• Previews for matches (Starter: 10/day, Pro: 100/day, Enterprise: unlimited).
• Concurrent listener support (Starter: 50, Pro: 1,000, Enterprise: millions).
• Sports coverage (Starter: top sports, Pro: all except racing, Enterprise: all including racing).
• Analytics, storage, and integrations, as specified per Plan.

The Service is subject to usage limits defined by your Plan. EchoTrade reserves the right to modify features, pricing, or availability with 30 days’ notice.

3. User Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. By using the Service, you represent that you meet these requirements and that your use complies with all applicable laws.

4. Subscription and Payment

4.1 Subscription Plans

Users may subscribe to the Starter ($1,549/month), Pro ($1,739/month), or Enterprise (custom pricing) Plan. Pricing and features are detailed at EchoTrade.bet#pricing.

4.2 Payment

Users must provide valid payment information. Payments are billed monthly in advance for Starter and Pro plans, or as agreed for Enterprise plans. All fees are non-refundable except as required by law.

4.3 Taxes

Users are responsible for any applicable taxes, which will be added to the subscription fees unless otherwise stated.

4.4 Price Changes

EchoTrade may adjust pricing with 30 days’ notice via email. Continued use after the effective date constitutes acceptance of the new pricing.

5. User Obligations

5.1 Account Security

Users are responsible for maintaining the confidentiality of their account credentials and for all activities under their account.

5.2 Acceptable Use

Users must not:

• Use the Service for illegal purposes or to violate third-party rights.
• Attempt to reverse-engineer, hack, or disrupt the Service.
• Exceed Plan usage limits (e.g., 10 matches/day for Starter) without upgrading.
• Redistribute or resell the Service without written consent. 5.3 Content: Users may provide input (e.g., preview preferences) but must ensure it is lawful and non-infringing. EchoTrade is not responsible for User-provided content.

6. Intellectual Property

6.1 Ownership

EchoTrade retains all rights, title, and interest in the Service, including AI models, preview output, and analytics, except as licensed herein.

6.2 License

EchoTrade grants Users a non-exclusive, non-transferable license to use the Service within their Plan’s limits. Starter plans include a EchoTrade watermark; Pro and Enterprise plans may remove it as specified.

6.3 Custom Voices

Custom brand voices created for Pro ($500 one-time fee) or Enterprise (unlimited) remain EchoTrade property but are licensed for User’s exclusive use within the Service.

7. Service Availability

7.1 Uptime

EchoTrade targets 99.9% uptime for Enterprise plans, with reasonable efforts for Starter and Pro. Downtime due to maintenance will be communicated in advance.

7.2 Modifications

EchoTrade may update the Service (e.g., new voices, analytics) without notice, provided core functionality remains intact.

8. Termination

8.1 User Termination

Users may cancel their subscription via the dashboard or by contacting [email protected]. Cancellation takes effect at the end of the current billing cycle.

8.2 EchoTrade Termination

EchoTrade may suspend or terminate access for:

• Non-payment within 7 days of due date.
• Violation of these Terms (e.g., exceeding usage limits).
• Legal or regulatory requirements.

8.3 Effect of Termination

Upon termination, access ceases, and unpaid fees remain due. EchoTrade is not liable for data loss post-termination.

9. Limitation of Liability

9.1 Disclaimer

The Service is provided “as is.” EchoTrade disclaims all warranties, express or implied, including fitness for a particular purpose.

9.2 Liability Cap

EchoTrade’s total liability shall not exceed the fees paid by the User in the 12 months prior to the claim.

9.3 Exclusions

EchoTrade is not liable for indirect, consequential, or incidental damages, including loss of profits or data, even if advised of such possibility.

10. Indemnification

Users agree to indemnify EchoTrade against claims arising from their use of the Service, including violations of these Terms or infringement of third-party rights.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of ACT, Australia, without regard to conflict of law principles.

11.2 Disputes

Any disputes shall be resolved through arbitration in ACT under the Rules determined by the Commonwealth of Australia, except for injunctive relief, which may be sought in court.

12. Miscellaneous

12.1 Amendments

EchoTrade may update these Terms with 30 days’ notice via email or website. Continued use constitutes acceptance.

12.2 Assignment

Users may not assign these Terms without EchoTrade’s consent. EchoTrade may assign them freely.

12.3 Force Majeure

EchoTrade is not liable for delays or failures due to events beyond its control (e.g., natural disasters, cyberattacks).
